Terms and Conditions (Terms of Service)

These Terms and Conditions (“Terms”) govern your access to and use of DMLY (dmly.io), a product operated by OnlySocial LTD, a company registered in the United Kingdom (“Company”, “we”, “us”, or “our”).
By accessing or using DMLY, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Definitions
- “DMLY” or “Services” means the DMLY platform, website, dashboards, APIs, integrations, and related services.
- “Customer” or “You” means the individual or legal entity using DMLY.
- “End-Users” means your customers, leads, contacts, or users whose data you process through DMLY.
- “Customer Data” means data submitted, uploaded, or processed by you through the Services.
- “Content” means messages, media, automation rules, templates, workflows, and other materials created or uploaded by you.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms.
If you are using DMLY on behalf of an organization, you represent that you are authorized to bind that organization.
3. Account Registration
To use DMLY, you must create an account and provide accurate, complete, and up-to-date information.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted under your account
- Promptly notifying us of unauthorized use
4. Scope of Services
DMLY provides:
- Omnichannel messaging automation
- AI-powered workflows and responses
- Contact and conversation management
- Analytics, routing, and integrations with third-party platforms
We may update, modify, or discontinue features at any time to improve the Services or comply with platform requirements.
5. Acceptable Use
You agree not to use DMLY to:
- Send spam, unsolicited, or unlawful messages
- Violate WhatsApp, Meta, Telegram, or other platform policies
- Infringe intellectual property or privacy rights
- Transmit malicious code or harmful content
- Misrepresent your identity or affiliation
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Messaging Platform Compliance
You acknowledge and agree that:
- You are solely responsible for obtaining lawful opt-in and consent from End-Users
- You must comply with:
- WhatsApp Business Messaging Policy
- Meta Platform Policies
- Telegram Bot API policies
- Applicable data protection and consumer laws
- DMLY does not independently initiate messages
- All messaging automations are configured and controlled by you
Violation of platform policies may result in suspension or termination of messaging features.
7. Customer Data & Privacy
You retain ownership of all Customer Data.
We process Customer Data solely to provide the Services, in accordance with:
- Our Privacy Policy
- The Data Processing Agreement (DPA)
- The Meta/WhatsApp Privacy Addendum (where applicable)
You warrant that you have all necessary rights and permissions to process Customer Data.
8. AI-Powered Features
DMLY offers optional AI-powered features that may process message content to generate responses or automate workflows.
You acknowledge that:
- AI outputs are generated automatically and may not be error-free
- You are responsible for reviewing and approving AI-generated content
- Highly sensitive personal data should not be submitted into AI workflows
- Customer Data is not used to train public AI models
9. Fees, Billing, and Payments
Certain features require payment. By subscribing, you agree to:
- Pay all applicable fees according to your selected plan
- Provide accurate billing information
- Allow automatic renewals unless canceled
Payments are processed by third-party providers such as Stripe.
Failure to pay may result in suspension or termination of Services.
10. Suspension & Termination
We may suspend or terminate your account if:
- You breach these Terms
- You violate platform or legal requirements
- Your use poses security or compliance risks
- Required by law or platform partners
You may terminate your account at any time via the dashboard. Upon termination, access to the Services will cease.
11. Intellectual Property
DMLY and all related software, trademarks, logos, and documentation are the exclusive property of OnlySocial LTD.
You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.
You may not:
- Reverse engineer or copy the platform
- Resell or sublicense without authorization
- Remove proprietary notices
12. Third-Party Services
DMLY integrates with third-party platforms and services. We are not responsible for:
- Third-party outages or disruptions
- Changes to third-party APIs or policies
- Data practices of third-party services
Your use of third-party services is governed by their own terms.
13. Disclaimers
The Services are provided “as is” and “as available.”
We do not guarantee uninterrupted, error-free, or fully accurate operation.
To the maximum extent permitted by law, we disclaim all warranties, express or implied.
14. Limitation of Liability
To the maximum extent permitted by law:
- OnlySocial LTD shall not be liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
This limitation applies regardless of the legal theory asserted.
15. Indemnification
You agree to indemnify and hold harmless OnlySocial LTD from claims arising out of:
- Your use of the Services
- Your Content or Customer Data
- Violations of platform policies or laws
- Messaging without lawful consent
16. Modifications to Terms
We may update these Terms from time to time.
Material changes will be communicated via email or in-app notifications. Continued use constitutes acceptance.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
Courts of England and Wales shall have exclusive jurisdiction.
